Definitions
- Customer — the newsroom organisation that subscribes to the Service.
- End User — a reader on the Customer's site who interacts with the Ledenote widget.
- Service — the Ledenote omnibox product and accompanying dashboard, APIs, and documentation.
- Account — the credentials and configuration created by the Customer to access the Service.
- Documentation — the materials we publish describing how to use the Service.
Account & acceptance
Creating an Account constitutes acceptance of these Terms by the Customer. The individual creating the Account warrants that they are at least 18 years old and are authorised to bind the Customer organisation.
License grant
Subject to compliance with these Terms, we grant the Customer a limited, revocable, non-exclusive, non-transferable license to use the Service for the Customer's editorial operations during the term of the subscription.
Acceptable use
The Customer agrees not to:
- Scrape, copy, or systematically extract the Service or its outputs beyond ordinary use.
- Resell, sublicense, or otherwise commercialise access to the Service.
- Reverse-engineer or attempt to derive the source code or models underlying the Service.
- Use the Service to train competing language models or retrieval systems.
- Engage in conduct that disrupts, degrades, or harms the Service or other Customers.
Customer content
The Customer retains all rights to its articles, archive, and brand assets. The Customer grants Ledenote a narrow license to ingest, index, retrieve, and serve answers strictly to fulfill the Service for that Customer. We do not use one Customer's data to train or improve outputs for another Customer without explicit written consent.
Fees, billing & taxes
STE BLUEPILL CONSULTING SARL AU invoices Customers directly in accordance with Moroccan invoicing requirements. We are TVA-registered; the standard Moroccan TVA rate prescribed by law (loi 47-06 on the TVA) is applied to invoices we issue directly.
Online and self-serve subscriptions may instead be sold through Paddle.com Market Limited and its affiliates (“Paddle”), our authorised reseller, which acts as the Merchant of Record for subscriptions purchased through our checkout. Paddle collects payment and applicable taxes, issues the receipt, and handles billing enquiries for those orders. Our Refund & Cancellation Policy explains how cancellations and refunds work for each billing route.
Pricing follows the Customer's active plan; usage in excess of plan quotas is billed per the overage rate published in the dashboard. For invoices we issue directly, payment terms are stated on each invoice (default: net 30 by bank transfer to the account designated on the invoice), and those invoices carry our RC, IF, ICE, and Patente identifiers as required by Moroccan invoicing law.
Term & termination
Subscriptions are month-to-month by default. Either party may terminate for material breach with a 30-day cure period; we may terminate immediately for non-payment, abuse, or insolvency. The Customer may export its data for 30 days following termination, after which the data is deleted.
Warranties & disclaimers
The Service is provided on an "as-is" basis. We do not warrant uninterrupted availability beyond the published SLA. AI-generated answers are best-effort and may contain errors; the Customer is responsible for editorial verification of any AI-generated content used in production.
Limitation of liability
Our aggregate liability under these Terms is capped at the fees paid by the Customer in the trailing 12 months. We are not liable for indirect, consequential, incidental, or punitive damages. Liability for fraud, wilful misconduct, and breach of confidentiality obligations is uncapped.
Indemnification
The Customer indemnifies Ledenote against claims arising from the Customer's content, the Customer's use of the Service in breach of these Terms, and the Customer's misuse of End User data. Ledenote indemnifies the Customer against IP-infringement claims arising from the Service itself.
Governing law & dispute resolution
This Agreement is governed by the substantive laws of the Kingdom of Morocco, without regard to conflict-of-laws principles. Tribunal de Commerce de Casablanca, Morocco shall have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement. Notwithstanding the foregoing, either party may seek interim or conservatory measures from any court of competent jurisdiction.
Changes to these Terms
We notify Customers by email of material changes to these Terms with at least 30 days' notice. Continued use of the Service after the notice period constitutes acceptance of the revised Terms.
Miscellaneous
These Terms constitute the entire agreement between the parties on the subject matter, supersede prior communications, and may not be modified except in writing. If any provision is held unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. Ledenote may assign these Terms to a successor entity (including a future holding restructure); the Customer may not assign without our prior written consent. Notices are effective when sent to the email or postal address of record. Neither party is liable for delay caused by events beyond reasonable control.
